Terms of Service

Important: These Terms govern your use of The Great Race Account authentication, subscription, membership and payments service only. Individual applications accessed through this service have their own separate terms of service which also apply to your use of those applications.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Formula Corporation Pty Ltd (ABN 36 139 810 361), trading as The Great Race ("Company", "we", "us", or "our"), governing your access to and use of The Great Race Account service located at accounts.thegreatrace.com ("Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 16 years of age. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2. Description of Service

The Great Race Account is a centralised authentication and subscription management service that provides:

  • Single Sign-On (SSO): Secure authentication across The Great Race family of applications, enabling you to access multiple services with a single set of credentials
  • Account Management: Tools to manage your profile information, security settings, and connected sessions
  • Subscription Management: Processing and management of paid subscriptions for premium content and features across connected applications
  • Entitlement Tracking: Management of your access rights and permissions across the connected application ecosystem

The Service acts as an identity provider and does not itself provide content. Content is provided by the individual applications you access using your Account credentials.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information as requested during registration. You may register using your email address and password, or through supported third-party authentication providers (such as Google).

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Using a strong, unique password that you do not use for other services
  • Enabling additional security features such as two-factor authentication where available
  • Notifying us immediately via our contact page if you become aware of any unauthorised access to or use of your account

We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 Account Information

You agree to keep your account information accurate and up to date. We may require you to verify your email address or other information from time to time. Failure to maintain accurate account information may result in your inability to access the Service or connected applications.

4. Subscriptions and Payments

4.1 Subscription Services

Certain features and content within connected applications require a paid subscription. When you purchase a subscription, you agree to pay the applicable fees at the rates displayed at the time of purchase.

4.2 Payment Processing

All payments are processed securely by Stripe, Inc. ("Stripe"). We do not store your complete credit card details on our systems. Your use of Stripe is subject to Stripe's terms of service and privacy policy. By providing payment information, you represent and warrant that you are authorised to use the payment method provided.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. The renewal charge will be at the then-current subscription rate, which may differ from the rate you originally paid.

4.4 Cancellation

You may cancel your subscription at any time through your Account settings or the Stripe billing portal. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will retain access to subscription benefits until the end of the paid period
  • No partial refunds will be provided for unused portions of a billing period
  • Your account will remain active, but you will lose access to premium features

4.5 Refunds

Refund requests are handled on a case-by-case basis in accordance with Australian Consumer Law. Generally, refunds may be provided where:

  • The Service has a major failure as defined under Australian Consumer Law
  • The Service fails to meet a consumer guarantee
  • We have made an error in processing your subscription

To request a refund, please contact us with your account details and the reason for your request.

4.6 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect your current billing period. We will provide at least 30 days' notice of any price increase before your next renewal date, and you may cancel your subscription before the new price takes effect.

4.7 Taxes

All prices are displayed in Australian Dollars (AUD) and include GST where applicable. You are responsible for any additional taxes or duties imposed by your jurisdiction.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes.

5.2 Prohibited Conduct

You agree not to:

  • Share your account credentials with any other person or allow others to access your account
  • Create multiple accounts for the purpose of circumventing usage limits, bans, or other restrictions
  • Attempt to gain unauthorised access to the Service, other accounts, computer systems, or networks connected to the Service
  • Use any automated means (including scripts, bots, crawlers, or scrapers) to access the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to probe, scan, or test the vulnerability of the Service or breach any security or authentication measures
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Violate any applicable laws or regulations, including the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth), and any relevant state legislation
  • Infringe the intellectual property rights or privacy rights of others
  • Transmit any viruses, malware, or other malicious code
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

5.3 Enforcement

We reserve the right, without obligation, to investigate any suspected violation of these Terms and to take appropriate action, including suspending or terminating your access to the Service and reporting suspected illegal activity to law enforcement authorities.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and all content, features, and functionality (including but not limited to software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Formula Corporation Pty Ltd or its licensors and are protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

"The Great Race" is a registered trademark of Formula Corporation Pty Ltd in Australia. All other trademarks, service marks, and trade names used in the Service are the property of their respective owners.

6.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service. This licence does not include any right to:

  • Resell or make any commercial use of the Service
  • Modify or create derivative works based on the Service
  • Download or copy any materials except for account backup purposes
  • Use any data mining, robots, or similar data gathering methods

6.3 Your Content

You retain ownership of any content you submit to the Service (such as profile information or avatar images). By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display such content solely for the purpose of providing the Service to you.

7. Third-Party Services

The Service integrates with and provides access to third-party services, including:

  • Connected Applications: Applications in The Great Race family that use this Service for authentication
  • Payment Processors: Stripe for payment processing
  • Authentication Providers: Google and other OAuth providers
  • Infrastructure Providers: Cloud hosting and database services

Your use of third-party services is subject to those services' own terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

8. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from use of the Service will be accurate or reliable
  • Any errors in the Service will be corrected

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Formula Corporation Pty Ltd, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorised access, use, or alteration of your transmissions or content

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred Australian dollars (AUD $100).

If you are a consumer within the meaning of the Australian Consumer Law, our liability for failure to comply with a consumer guarantee is limited, at our option, to supplying the services again or payment of the cost of having the services supplied again.

10. Indemnification

You agree to defend, indemnify, and hold harmless Formula Corporation Pty Ltd and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any third-party rights
  • Any content you submit to the Service

11. Termination

11.1 Termination by You

You may terminate your account at any time through your Account settings or by contacting us. Upon termination:

  • Your right to access the Service will immediately cease
  • Any active subscriptions will be cancelled (no refunds for unused periods)
  • Your data will be handled in accordance with our Privacy Policy

11.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination:

  • All licences and rights granted to you will immediately terminate
  • You must cease all use of the Service
  • We may delete your account and data in accordance with our Privacy Policy

11.3 Survival

The following provisions shall survive termination: Sections 6 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution).

12. Modifications to Terms and Service

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

12.2 Changes to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia, for resolution of any disputes arising out of or relating to these Terms or the Service.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us to attempt to resolve the dispute informally. We will endeavour to resolve any dispute within 30 days of receipt of your complaint.

14.2 Mediation

If informal resolution is unsuccessful, either party may refer the dispute to mediation administered by the Resolution Institute in accordance with its mediation rules. The mediation will be conducted in Brisbane, Queensland, unless the parties agree otherwise.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Formula Corporation Pty Ltd regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Notices

We may provide notices to you via email, posting on the Service, or other reasonable means. You may provide notices to us via our contact page or by post to our registered address.
